Recursion Enters into Agreements to Acquire Cyclica and Valence to Bolster Chemistry and Generative AI Capabilities

Terms of the Acquisitions

Recursion has entered into agreements to acquire Cyclica for a purchase price of $40 million and Valence for a purchase price of $47.5 million, in each case subject to customary closing and post-closing purchase price adjustments. The purchase price in the acquisitions will be payable in the form of shares of Recursion Class A common stock, shares of a subsidiary of Recursion exchangeable for shares of Recursion’s Class A common stock and the assumption of certain outstanding Valence and Cyclica options. In certain limited circumstances, Recursion may pay nominal cash consideration to Valence and Cyclica shareholders in lieu of such exchangeable shares or Recursion Class A common stock. Recursion expects no material change to its cash runway as a result of these acquisitions. Recursion expects both acquisitions to be completed in the second quarter of 2023, subject to applicable closing conditions.

Duplicity of Looks Art Exhibition opens in Accra

A Duplicity of Looks Art Exhibition has been opened in Accra with a call on Ghanaians to support the work of artists to help preserve the beautiful African cultural identity expressed in art.

It is an installation of paintings by Nana Frema, an artist, supported with an exhibition grant awarded to her. The show is being run from May 1 to June 1, 2023.

The exhibition features several works that explore the idea of duality that can be applied to everyday lives. The works are aimed at making viewers think about how different looks can be interpreted in different ways.

Eng George Asiedu, the Project Coordinator of the Greater Accra Metropolitan Areas – Sanitation and Water Project in a speech read for him by Eng Gabriel Engman expressed appreciation to the creative works of the artists.

He said: ‘We’ve all heard the phrase ‘beauty is in the eye of the beholder,’ but what this show tackles are something much deeper,’ adding; ‘In the collection of Nana Frema’s works in the Duplicity of Looks, it explores the topic in very diverse ways, and the pieces are a testament to the power of arts.’

Eng Asiedu noted that the complicated and the layered ideas of the arts challenge us to think beyond what we initially see by finding depths in our understanding, and urged people who would be patronizing the exhibition to take an art piece home.

He said: ‘By so doing you are not only supporting the artist to continue in her vocation, but you are contributing your quota to the preservation of our beautiful African cultural identity being expressed through the experiences of the artist.’

Madam Akwele Suma Glory, the President of the Women’s Art Institute Africa (wAi Africa) in an address stated that Nana Frema is one of the hardworking young ladies of wAi Africa, saying; ‘For us at wAi Africa, this show is extra special because it is our maiden virtual exhibition edition.’

She said as the harsh economic condition in the world was gradually improving, it was imperative for people to take solace in things like carefully created artwork like the paintings of Nana Frema to rejuvenate us to prepare for better economic opportunities.

Madam Akwele encouraged viewers of the exhibition to take a moment to look at the installation of the art works closely, saying; ‘You will see in each piece the artist’s hopes, aspirations, and dreams. You feel her expectations. You sense her quiet but insistent demand for results.’

Former President Mahama calls for unity among NDC members

Former President John Dramani Mahama has called for unity among the NDC members nationwide for victory in 2024 general election.

Without unity, he said they would not be able to win both Presidential and Parliamentary elections in 2024.

Former President John Dramani Mahama made the call when he addressed 1,366 delegates drawn from 147 branches of Yendi Constituency of Northern Region as part of his campaign tour to Northern Region to be elected as the Presidential candidate of the Party.

On 13th May, 2023, they will be voting to elect the flagbearer for the party and parliamentary candidates for the party within the 275 constituencies.

He called on the losers among the three contestants in the Yendi constituency to rally behind the winner after the polls.

The contestants are Alhassan Abdul Fatawu, Private Legal Practitioner, Mr. Yakubu Alhassan Sitobu, Accountant with Yendi Ministry of Agric and Alhaji Hamza Yahaya Alikali a private man.

‘Among the three candidates only one will be elected on 13th May, 2023, and so the losers must rally behind him and support him to win the Yendi Constituency seat for the party’.

He called on the executives to carry out door to door campaigns to educate the public to vote for NDC and also to educate them on how to thumbprint on the ballot paper, so that they will not spoil the ballots.

He also met the delegates of Tatale/Sanguli, Zabzugu, Saboba, Chereponi, Gushegu, Karaga, Kpandai, Nanumba North, Nanumba South, and Mion Constituencies within Eastern Corridor.

The Northern Regional Chairman of the Party Mr. Adolf Ali said they needed an experience flag bearer to lead the party in the 2024 elections and would support John Dramani Mahama to win on May 13.

The Yendi Constituency Chairman, Alhaji Abubakari Shani promised that they would vote massively for him.

Akufo-Addo, Canadian Prime Minister hold bilateral talks

President Nana Addo Dankwa Akufo-Addo has held bilateral talks with the Canadian Prime Minister, Justin Trudeau, to strengthen diplomatic relations between Ghana and Canada.

Canada is among the first countries to recognise Ghana’s independence in 1957, and established its first Africa bilateral development programme in the country shortly thereafter.

President Nana Akufo-Addo, who was at the Westminster Abbey for the coronation of King Charles III, wrote on his Facebook page: ‘On Sunday, 7th May 2023, I held bilateral discussions with the Prime Minister of the Government of Canada, His Excellency Justin Trudeau, in London.’

‘Our talks centred on strengthening the ties of co-operation and bonds of friendship between Ghana and Canada.’

To develop effective responses to today’s most pressing global challenges, Canada and Ghana work closely in multilateral fora, such as the Commonwealth, International Civil Aviation Organisation (ICAO), International Criminal Court (ICC) and United Nations (UN).

The two countries have also collaborated effectively to push the Open Government Partnership (OGP), United Nations Educational, Scientific and Cultural Organisation (UNESCO) and World Trade Organisation (WTO) agenda.

Canada is said to have provided more than $2.5 billion in development assistance in support of shared Ghanaian and Canadian priorities over the last six decades.

Embrace PURC’s ‘App’ for convenient complaints lodging, consumers told

Mr Patrick Antwi, the Bono, Bono East and Ahafo Regional Manager, Public Utilities Regulatory Commission (PURC), has encouraged consumers to adopt the Commission’s Application (App) system to lodge complaints for convenience and comfort.

He explained that consumers must understand that times were fast changing and, therefore, could do much by using technology to lodge complaints and add the necessary attachments for the Commission to swiftly attend to their issues.

Mr Antwi, in an interview with the Ghana News Agency (GNA) in Sunyani, said the introduction of the ‘app’ in 2020 formed part of the Commission’s initiative to take complaints in diverse forms including through phone calls, WhatsApp platforms, field engagement, writing and going to the Commission’s office in person.

He said during pandemics like COVID-19, due to the social distancing policy adopted, the app would serve a great purpose.

The utility companies could also access the platform to make complaints against consumers and a fellow utility company, Mr Antwi added.

Explaining how the ‘App’ system worked, he said since the Commission was operating in 10 administrative regions, a consumer accessing the system would indicate his/her location and the utility company against, which the complaint was being made.

Mr Antwi said once the complaint was lodged the information would be relayed to the specific region and the officers concerned would pick the complaint and follow up for possible redress.

He said the system had ensured less stress for consumers to deal with issues of water and electricity at the comfort of their homes.
